General Terms and Conditions of Use of the powr-connect.shop website
ARTICLE 1. Preamble
These general terms and conditions of use (hereinafter referred to as "GTC") govern the use of the website https://POwR-connect.shop (hereinafter referred to as the "Site") by professionals (hereinafter referred to as "Users" or "Professionals").
It is specified that the use of the Site is subject to the careful reading and prior acceptance of these Terms and Conditions, which all Users agree to respect.
ARTICLE 2. Purpose
The Site is an online sales platform for goods intended exclusively for PV/photovoltaic professionals.
It allows Users to view products available for sale, place orders and access other features related to their business account.
The Terms and Conditions detail the rules applicable to access and use of the Site and in particular the services offered therein.
These Terms and Conditions are accessible at any time on the Site and shall prevail, where applicable, over any other version or contradictory document.
These Terms and Conditions may be subject to subsequent modifications; the version applicable to a transaction carried out with a User is the one in force on the website on the date the order was placed.
Modifications to these Terms and Conditions are binding on users of the Site from the date they are posted online and cannot apply to transactions concluded prior to that date.
ARTICLE 3. Registration
Access to certain features of the Site may require prior registration.
Users agree to provide accurate and up-to-date information when registering.
They are responsible for maintaining the confidentiality of their password and account, and agree to notify immediately POwR CONNECT in case of unauthorized use of their account.
In the event of non-compliance with these Terms of Service by the User, POwR CONNECT reserves the right to temporarily or permanently interrupt access, by suspending or terminating this agreement without notice or compensation.
By registering on the Site, a User fully and completely agrees to and accepts these Terms and Conditions, which is expressly acknowledged by the User.
ARTICLE 4. Orders
Orders placed on the Site are subject to acceptance by POwR CONNECT which reserves the right to refuse or cancel an order for legitimate reasons, including in the event of product availability problems or non-compliance with these Terms and Conditions.
ARTICLE 5. Product Disputes
Users can, at any time, contact POwR CONNECT and to address any complaints concerning the Products ordered using the messaging tool made available for this purpose by the Site.
Users are required to report any complaints concerning ordered Products within five (5) working days at the latest from the debiting of their bank account.
ARTICLE 6. Price and Payment
Product prices are listed on the Site and are expressed in euros excluding taxes.
Delivery charges and any other applicable taxes are also specified during the ordering process. Payment is made online using the payment methods accepted by POwR CONNECT .
The products remain the property of POwR CONNECT until full payment of the price.
ARTICLE 7. Delivery
Delivery times and methods are specified when ordering.
POwR CONNECT undertakes to make its best efforts to meet these deadlines, but cannot be held responsible for delays beyond its control as detailed in the general terms and conditions of sale.
ARTICLE 8 - Termination of access to Marketplace services
In the event of a breach by the User of any of its obligations under these Terms and Conditions, POwR CONNECT may, after formal notice sent by any means which remains unheeded for a period of eight (8) working days, permanently cut off the User's access to its services, by registered letter with acknowledgment of receipt, without the User being able to claim any compensation.
In the event of a serious and/or repeated breach by the User of their obligations or affecting their accounts, such as, in particular, fraud, abusive language, counterfeiting, infringement of third-party rights, etc., POwR CONNECT may deprive the User of all access to its services, without the User being entitled to any compensation.
ARTICLE 9 - Protection of personal data
In accordance with Law 78-17 of 6 January 1978, as amended by Law No. 2018-493 of 20 June 2018, it is noted that the personal data requested from the User by POwR CONNECT are necessary both to guarantee access to the Site and for the processing of Product orders.
POwR CONNECT undertakes to ensure the security of the personal data it retains for the purposes of order fulfillment and monitoring.
The processing of information communicated via the Site complies with legal requirements for the protection of personal data, the information system used ensuring optimal protection of this data.
In accordance with applicable national and European regulations, the User has a permanent right of access, modification, rectification, objection, portability and limitation of processing with regard to information concerning him/her.
This right can be exercised under the conditions and according to the procedures defined on the Site on the Privacy Page .
ARTICLE 10. Intellectual Property
The content of the Site is the property of the Seller and its partners and is protected by French and international laws relating to intellectual property.
Any reproduction, in whole or in part, of this content is strictly prohibited and may constitute an infringement of copyright.
The Site and all its content (product sheets, prices, stock levels, technical specifications) constitute a database protected under Articles L. 341-1 et seq. of the French Intellectual Property Code. Any extraction, copying, reuse, or automated consultation of the Site by robots, scrapers, crawlers, AI agents, or any other automated or manual process is strictly prohibited, particularly for purposes of competitive intelligence, price comparison, or aggregation on third-party platforms, unless prior written consent is obtained from POwR CONNECT In accordance with Article L. 122-5-3 III of the French Intellectual Property Code, POwR CONNECT It also opposes any text and data mining. Any violation exposes its perpetrator to prosecution under Articles L. 342-1 of the French Intellectual Property Code and 323-1 of the French Penal Code.
ARTICLE 11. Liability
POwR CONNECT cannot be held liable for any direct or indirect damage caused to Users or their property in connection with the use of the Site. Users acknowledge that they use the Site at their own risk.
ARTICLE 12 - Partial Nullity
If one or more provisions of this agreement are held to be invalid or declared as such pursuant to any law, regulation or final decision of a competent court, the other provisions shall remain in full force and effect.
ARTICLE 13. Amendment of the Terms and Conditions
POwR CONNECT reserves the right to modify these Terms of Use at any time. Users will be notified of these modifications and must accept them to continue using the Site.
ARTICLE 14. Applicable Law and Jurisdiction
These General Terms of Use and the transactions arising therefrom are governed by French law.
They are written in French. In the event that they are translated into one or more languages, only the French text shall prevail in the event of a dispute.
These Terms and Conditions are governed by French law and any dispute relating to their interpretation or execution shall be subject to the exclusive jurisdiction of the courts of Nantes.
